Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Kyrigo LLC (“Kyrigo,” “we,” “us,” or “our”), an Arkansas limited liability company, governing your access to and use of the website www.kyrigo.com, the Kyrigo client portal, and our AI consulting services (collectively, the “Services”).

By creating or accessing an account, engaging Kyrigo for consulting work, or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must not use the Services.

2. Description of Services

Kyrigo is an AI consulting firm. We help businesses adopt artificial intelligence through services that include, but are not limited to:

  • Design, provisioning, and configuration of AI environments.
  • Data reporting, dashboards, and insights.
  • Design and implementation of business automations.
  • AI strategy, roadmapping, integration, and related advisory services.
  • A client portal for viewing environments, reports, and automations associated with your engagement.

The specific scope, deliverables, timeline, and fees for any consulting engagement are governed by a separate written proposal, statement of work, or order form agreed between you and Kyrigo (each, an “Engagement Agreement”). In the event of a conflict between an Engagement Agreement and these Terms, the Engagement Agreement controls with respect to that engagement.

Our Services frequently rely on third-party software, platforms, and AI model providers. As described in Section 7, Kyrigo does not own, train, or operate those underlying models and cannot guarantee their output, accuracy, or continued availability.

3. Client Portal Accounts

3.1 Eligibility

You must be at least 18 years of age and authorized to act on behalf of the business you represent to create or use an account. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement.

3.2 Account Registration

Portal accounts may be created directly or by invitation from Kyrigo. You agree to provide accurate, complete, and current information and to keep it up to date. Kyrigo is not responsible for problems or liability resulting from inaccurate account information.

3.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality and security of your login credentials.
  • All activity that occurs under your account, whether or not authorized by you.
  • Notifying us immediately at support@kyrigo.com if you suspect unauthorized access to your account.

Kyrigo is not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Engagements, Fees & Billing

4.1 Scope and Fees

Fees, payment schedules, and the scope of work for each engagement are set out in the applicable Engagement Agreement. Engagements may be structured as fixed-fee projects, monthly retainers, or time-and-materials arrangements. Work outside the agreed scope may be subject to additional fees agreed in writing.

4.2 Payment

Unless otherwise stated in an Engagement Agreement, invoices are due within fifteen (15) days of the invoice date. Payments are processed by Stripe, Inc.; by paying an invoice you authorize the applicable charge to your designated payment method. Kyrigo does not store your payment card information.

4.3 Late Payment

Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Kyrigo may suspend Services or portal access for accounts with past-due balances after reasonable notice.

4.4 Third-Party Costs and Expenses

Unless otherwise agreed in writing, you are responsible for third-party costs incurred on your behalf or for your benefit — including cloud hosting, AI model or API usage, software licenses, and subscriptions — as well as pre-approved out-of-pocket expenses.

4.5 Taxes

Fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes imposed by your jurisdiction, excluding taxes based on Kyrigo's net income. Kyrigo will collect and remit taxes where legally required.

4.6 Refunds

Except as expressly stated in an Engagement Agreement, fees for Services already performed are non-refundable. Refund eligibility for any prepaid, unperformed work is governed by the applicable Engagement Agreement.

5. Client Responsibilities

The success of a consulting engagement depends on your cooperation. You agree to:

  • Provide timely access to the people, systems, data, and information reasonably needed to perform the Services.
  • Ensure you have the right to grant Kyrigo access to any systems, accounts, or data you provide, and to authorize the work requested.
  • Designate a point of contact empowered to make decisions and provide approvals.
  • Review deliverables, environments, reports, and automations before relying on them for business decisions.
  • Use the Services and any deliverables only for lawful purposes and in compliance with these Terms and applicable law.

Kyrigo is not responsible for delays, deficiencies, or costs caused by your failure to meet these responsibilities.

6. Deliverables & Intellectual Property

6.1 Ownership of Deliverables

Upon full payment of all fees due for an engagement, Kyrigo assigns to you its ownership rights in the specific work product created for you and identified as a deliverable in the applicable Engagement Agreement, excluding Kyrigo Materials and Third-Party Materials described below.

6.2 Kyrigo Materials

Kyrigo retains all right, title, and interest in its pre-existing and independently developed materials, including methodologies, frameworks, templates, tools, code libraries, know-how, and the Kyrigo website and platform (“Kyrigo Materials”). To the extent any Kyrigo Materials are incorporated into a deliverable, Kyrigo grants you a non-exclusive, perpetual, royalty-free license to use them solely as part of that deliverable for your internal business purposes.

6.3 Third-Party Materials

Deliverables may incorporate third-party software, services, models, or open-source components (“Third-Party Materials”), which are licensed to you under their respective terms. Kyrigo does not own Third-Party Materials and makes no warranties regarding them.

6.4 Your Data

You retain all right, title, and interest in the data, materials, and content you provide to Kyrigo (“Client Data”). You grant Kyrigo a limited license to access, host, process, and use Client Data solely to provide the Services. We do not use Client Data to train AI models for other clients.

6.5 Feedback

If you provide feedback or suggestions, you grant Kyrigo a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into its Services without compensation or attribution.

7. Third-Party AI & Services

Important Notice Regarding AI Systems

AI systems can produce inaccurate, incomplete, biased, or unexpected results. Environments, reports, and automations delivered by Kyrigo may rely on third-party AI models that Kyrigo does not control. You are responsible for reviewing outputs and exercising human judgment before relying on them for any decision.

Kyrigo integrates and configures third-party platforms and AI model providers. These providers operate under their own terms and privacy policies, control their own models and infrastructure, and may change or discontinue their offerings at any time. Kyrigo is not responsible for the acts, omissions, outputs, pricing, availability, or security of Third-Party Materials or providers.

8. Confidentiality

Each party may receive non-public information of the other party (“Confidential Information”). Each party agrees to use the other's Confidential Information only to perform under these Terms and any Engagement Agreement, to protect it with at least reasonable care, and not to disclose it to third parties except to employees, contractors, or advisors who are bound by comparable confidentiality obligations. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction. This section does not prevent disclosure required by law, provided the disclosing party gives reasonable notice where permitted.

9. Acceptable Use

You agree not to use the Services or any deliverable to:

  • Violate any applicable law, regulation, or third-party right.
  • Infringe the intellectual property, privacy, or publicity rights of any person.
  • Develop or operate systems designed to deceive, defraud, harass, or harm others.
  • Attempt to gain unauthorized access to systems or data, or to disrupt or impair the Services.
  • Circumvent security, moderation, or usage controls of Kyrigo or its third-party providers.

Kyrigo may suspend or terminate Services or portal access for conduct that violates this section.

10. Warranties & Disclaimers

10.1 Service Warranty

Kyrigo warrants that it will perform the Services in a professional and workmanlike manner consistent with generally accepted industry standards. Your exclusive remedy for a breach of this warranty is, at Kyrigo's option, re-performance of the deficient Services or a refund of the fees paid for those deficient Services, provided you notify Kyrigo in writing within thirty (30) days of performance.

10.2 Disclaimer

EXCEPT AS EXPRESSLY STATED IN SECTION 10.1, THE SERVICES, THE WEBSITE, THE CLIENT PORTAL, AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KYRIGO EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KYRIGO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ENVIRONMENT, REPORT, AUTOMATION, OR AI OUTPUT WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT.

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KYRIGO LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

KYRIGO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KYRIGO FOR THE ENGAGEMENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT, OR (B) ONE THOUSAND DOLLARS ($1,000.00). THIS CAP APPLIES REGARDLESS OF THE FORM OF ACTION.

11.3 Essential Basis of the Bargain

THE DISCLAIMERS AND LIMITATIONS IN THESE TERMS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Kyrigo LLC, its member(s), officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services or any deliverable, including business decisions made in reliance on them.
  • Client Data or any systems, accounts, or materials you provide or grant Kyrigo access to.
  • Your violation of these Terms or any applicable law, regulation, or third-party right.
  • Your representation that you were authorized to request the work performed or to grant the access provided.

13. Term & Termination

These Terms apply while you use the Services or maintain a portal account. Either party may terminate an engagement as provided in the applicable Engagement Agreement. Kyrigo may suspend or terminate your account or an engagement, with or without notice, for non-payment, violation of these Terms, suspected fraudulent or illegal activity, or a legal requirement. Upon termination, your right to use the Services ceases; you remain responsible for fees for Services performed through the termination date; and Sections 4, 6, 8, 10, 11, 12, 14, and 15 survive.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-law principles.

14.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact Kyrigo at support@kyrigo.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Jurisdiction and Venue

Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Pulaski County, Arkansas, and you consent to the personal jurisdiction of those courts.

14.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ANY DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. General Provisions

15.1 Force Majeure

Kyrigo shall not be liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war or terrorism, pandemics, government actions, power or internet outages, third-party provider outages or model changes, or cyberattacks.

15.2 Independent Contractor

Kyrigo performs the Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

15.3 Severability & Waiver

If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in full force. Kyrigo's failure to enforce any right or provision is not a waiver of it.

15.4 Entire Agreement & Assignment

These Terms, together with our Privacy Policy and any Engagement Agreement, constitute the entire agreement between you and Kyrigo regarding the Services. You may not assign these Terms without Kyrigo's prior written consent; Kyrigo may assign them in connection with a merger, acquisition, or sale of assets.

16. Changes to These Terms

Kyrigo may update these Terms from time to time. When we make material changes:

  • We will update the “Effective Date” at the top of this document.
  • We will notify account holders via email where practicable before the changes take effect.
  • We will post the updated Terms on our website.
  • Your continued use of the Services after the new effective date constitutes acceptance of the revised Terms.
