Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Kyrigo LLC (“Kyrigo,” “we,” “us,” or “our”), an Arkansas limited liability company, governing your access to and use of the website www.kyrigo.com and all associated services, applications, and tools (collectively, the “Service”).

By creating an account, purchasing credits, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must not use the Service.

2. Description of Service

Kyrigo is an AI creative studio that provides a web-based platform for generating images and videos using artificial intelligence. The Service acts as an interface to third-party AI inference providers — including but not limited to WaveSpeed, Replicate, and fal.ai — and does not own, train, develop, or operate the underlying AI models used to generate content.

Access to the Service is granted through a credit-based system. Credits are purchased in advance and consumed when generation requests are submitted. The Service includes:

• AI image and video generation via third-party inference APIs.
• A personal gallery for storing and managing generated outputs.
• Credit management and purchase functionality.
• Account settings and profile management.

Because the Service relies on third-party AI models and infrastructure, Kyrigo cannot guarantee specific output quality, stylistic consistency, or the continued availability of any particular model or capability.

3. Account Terms

3.1 Eligibility

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into a binding agreement. The Service is not intended for minors and Kyrigo does not knowingly permit minors to use the platform.

3.2 One Account Per Person

Each account is for a single individual user. You may not create multiple accounts to circumvent credit limits, account restrictions, or any other limitation imposed by Kyrigo. Creating duplicate accounts is grounds for immediate termination of all associated accounts without refund.

3.3 Account Registration

To access the Service, you must create an account by providing accurate and complete information. You agree to keep your account information current. Kyrigo is not responsible for problems or liability resulting from inaccurate account information.

3.4 Account Security

You are solely responsible for:

• Maintaining the confidentiality and security of your login credentials.
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately at support@kyrigo.com if you suspect unauthorized access to your account.

Kyrigo is not liable for any loss, damage, or unauthorized generation activity arising from your failure to safeguard your account credentials.

4. Credits and Billing

4.1 Credit-Based Pricing

The Service operates on a prepaid credit system. Credits are purchased in one-time packs and are not sold as part of a recurring subscription. Each generation request consumes a defined number of credits based on the model, output type, and generation parameters selected. Credit costs are disclosed at the time of purchase and generation.

4.2 No Refunds on Used Credits

All credit purchases are final. Credits that have been used to submit generation requests are non-refundable under any circumstances, including if the generation fails, produces unexpected results, or does not meet your expectations. Unused credits from a credit pack may be eligible for refund only if requested within 7 days of purchase and no credits from that pack have been used. Kyrigo reserves sole discretion over all refund decisions.

4.3 Credits Do Not Expire

Unused credits do not expire and remain in your account until used, unless your account is terminated for violation of these Terms, in which case all remaining credits are forfeited without refund.

4.4 Payment Processing

All payments are processed by Stripe, Inc. By purchasing credits, you agree to Stripe's terms of service and authorize the one-time charge to your designated payment method. Kyrigo does not store your payment card information.

4.5 Taxes

Prices are exclusive of applicable taxes. You are responsible for any sales tax, use tax, VAT, or similar taxes imposed by your jurisdiction. Kyrigo will collect and remit taxes where legally required.

4.6 Pricing Changes

Kyrigo reserves the right to modify credit pack pricing and credit costs for generation at any time. Price changes will be communicated via the website and do not affect credits already purchased.

5. AI-Generated Content

5.1 Third-Party AI Models

The AI models used to process your requests are developed and operated by independent third parties. Kyrigo has no control over the outputs of these models, how they are trained, or what biases, limitations, or errors they may contain. Kyrigo's role is strictly to provide an interface for submitting requests to and receiving outputs from these third-party models.

5.2 User Responsibility for Generated Content

You are solely and exclusively responsible for all content you generate using the Service. This includes responsibility for the prompts you submit, the outputs you receive, and all uses to which you put those outputs. Kyrigo accepts no responsibility whatsoever for content generated at your direction.

5.3 Copyright and Ownership of Generated Output

The copyright status of AI-generated content is unsettled and actively evolving. Per current U.S. Copyright Office guidance, AI-generated content without meaningful human authorship may not be eligible for copyright protection. Kyrigo makes no representations or warranties regarding your ability to claim copyright or any other intellectual property rights in content generated through the Service. You assume all risk associated with your use, licensing, commercialization, or publication of AI-generated outputs.

5.4 No Warranty on Generated Content

Kyrigo makes no warranties of any kind — express, implied, or statutory — regarding the quality, accuracy, safety, appropriateness, originality, or fitness for any purpose of AI-generated content. Generated content may be offensive, inaccurate, misleading, harmful, or otherwise objectionable. You acknowledge and accept this risk in full.

5.5 Kyrigo Not Liable for Generated Content

Kyrigo is not liable, under any legal theory, for any content generated by users of this platform. This includes but is not limited to liability for defamatory content, infringing content, offensive content, or content that causes harm to any person or entity. Your use of the Service and any generated content is entirely at your own risk.

6. Content Policy and Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. The following are strictly prohibited and may result in immediate account termination without refund, referral to law enforcement, and pursuit of all available legal remedies:

6.1 Prohibited Content

• Child Sexual Abuse Material (CSAM): You may not generate, attempt to generate, or use the Service in connection with any sexually explicit content involving minors. This is an absolute prohibition. Violations will be reported to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.
• Non-Consensual Intimate Imagery (NCII): You may not generate deepfakes, synthetic intimate imagery, or any sexually explicit content depicting real or realistic-looking individuals without their explicit, documented consent.
• Deepfakes for Harm: You may not generate realistic depictions of real individuals in ways designed to deceive, defame, harass, or harm those individuals.
• Harassment and Harm: You may not use the Service to generate content designed to harass, bully, intimidate, threaten, defame, or harm any individual or group.
• Infringing Content: You may not generate content that knowingly infringes the copyright, trademark, right of publicity, or other intellectual property rights of any third party.
• Illegal Content: You may not generate content that constitutes, promotes, facilitates, or glorifies illegal activity of any kind under applicable federal, state, or local law.
• Violent Extremism: You may not generate content that promotes, glorifies, or incites terrorism, genocide, or mass violence.

6.2 Prohibited Platform Use

• Safety Filter Circumvention: You may not attempt to bypass, disable, or circumvent any content safety filters, moderation systems, or restrictions implemented by Kyrigo or its third-party AI providers.
• Automated Abuse: You may not use automated scripts, bots, or tools to abuse the credit system or submit requests at rates that degrade service for other users.
• Unauthorized Access: You may not attempt to access accounts, systems, or data not belonging to you.
• Platform Interference: You may not take any action that disrupts, overloads, or impairs the integrity or performance of the Service.
• Resale Without Authorization: You may not resell, sublicense, or commercially redistribute access to the Service without Kyrigo's prior written consent.

6.3 Enforcement

Kyrigo reserves the right, but not the obligation, to monitor, review, and remove any content and to terminate any account that violates this Content Policy, with or without prior notice and without refund of any unused credits. Kyrigo's enforcement decisions are final.

7. User Content and Uploads

You may upload reference images, style samples, or other files (“User Content”) to use as inputs for generation requests. You retain ownership of User Content that you upload. By uploading User Content, you represent and warrant that:

• You own or have all necessary rights, licenses, consents, and permissions to use and upload the content.
• The content does not violate any third party's rights or any applicable law.
• You are not uploading content depicting identifiable individuals without their consent.

You grant Kyrigo a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and transmit your User Content solely as necessary to provide the Service to you. We do not use your uploaded content to train AI models. This license terminates when you delete the content or close your account, subject to reasonable data retention requirements.

You are solely responsible for all User Content you upload. Kyrigo assumes no liability for User Content and reserves the right to remove any User Content that violates these Terms.

8. Intellectual Property

8.1 Kyrigo's Intellectual Property

The Service — including the website, software, user interface, design, graphics, logos, trademarks, and all platform technology — is the exclusive property of Kyrigo LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the platform itself.

8.2 Generated Output

Kyrigo does not claim ownership of images or videos generated through the Service in response to your prompts. Subject to these Terms, to the extent any intellectual property rights exist in generated outputs, Kyrigo assigns any such rights to you. However, as noted in Section 5.3, the copyright status of AI-generated content is uncertain under current law, and Kyrigo makes no warranty that any generated output is protectable or that you will be able to enforce any intellectual property rights in it.

8.3 License to Use the Service

Subject to these Terms, Kyrigo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes while your account is active and in good standing.

8.4 Feedback

If you provide feedback, suggestions, or feature requests, you grant Kyrigo a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service without compensation or attribution.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KYRIGO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. KYRIGO MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, SAFE, ORIGINAL, OR FIT FOR ANY PURPOSE.

9.2 No Liability for Generated Content

KYRIGO IS NOT LIABLE, UNDER ANY LEGAL THEORY WHATSOEVER — INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — FOR ANY CONTENT GENERATED BY ANY USER OF THE PLATFORM. THIS INCLUDES, WITHOUT LIMITATION, LIABILITY FOR: (A) OFFENSIVE, OBJECTIONABLE, OR HARMFUL OUTPUTS; (B) INACCURATE OR MISLEADING OUTPUTS; (C) OUTPUTS THAT INFRINGE THE RIGHTS OF THIRD PARTIES; (D) OUTPUTS USED TO DEFAME, HARASS, OR HARM ANY PERSON; AND (E) ANY THIRD-PARTY CLAIMS ARISING FROM A USER'S GENERATED CONTENT OR USE OF THE SERVICE.

9.3 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KYRIGO LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, REPUTATION, OR OPPORTUNITY; DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT; DAMAGES RESULTING FROM THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SERVICE; OR ANY OTHER INTANGIBLE LOSSES — EVEN IF KYRIGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4 Cap on Liability

KYRIGO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO KYRIGO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THIS CAP APPLIES REGARDLESS OF THE FORM OF ACTION AND WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.

9.5 Essential Basis of the Bargain

YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND KYRIGO. THE SERVICE WOULD NOT BE MADE AVAILABLE AT THE PRICES OFFERED WITHOUT THESE LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Kyrigo LLC, its member(s), officers, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use of or access to the Service.
• Any content you generate using the Service, including any claim that your generated content infringes, defames, harasses, or otherwise harms any third party.
• Any User Content you upload to the Service.
• Your violation of these Terms, including the Content Policy.
• Your violation of any applicable law, regulation, or third-party right, including any intellectual property right, right of publicity, or privacy right.
• Any use you make of AI-generated outputs, including commercialization, publication, or distribution thereof.
• Any claim by a third party arising from your use of the Service or your generated content, including claims alleging copyright infringement, defamation, or violation of any law.
• Any misrepresentation made by you in connection with the Service.

Kyrigo reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you. In such event, you agree to cooperate fully with Kyrigo in asserting any available defenses. You may not settle any claim subject to this indemnification obligation without Kyrigo's prior written consent.

11. DMCA and Takedown

Kyrigo respects intellectual property rights and responds to properly submitted notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). If you believe that content generated or stored through the Service infringes your copyright, please send a written notice to support@kyrigo.com containing:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material claimed to be infringing and information sufficient for us to locate it.
• Your contact information, including name, address, telephone number, and email address.
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Kyrigo will review properly submitted notices and take appropriate action, which may include removing or disabling access to the identified content. Accounts of repeat infringers may be terminated.

12. Termination

12.1 Termination by You

You may close your account at any time through your account settings or by contacting support@kyrigo.com. Unused credits remaining at account closure are non-refundable unless you qualify under the refund conditions in Section 4.2.

12.2 Termination by Kyrigo

Kyrigo reserves the right to suspend or terminate your account immediately, with or without prior notice, and without liability or refund, for any reason, including but not limited to:

• Violation of these Terms, including the Content Policy.
• Generation of prohibited content, including CSAM or NCII.
• Suspected fraudulent, abusive, or illegal activity.
• Any conduct that Kyrigo, in its sole discretion, determines to be harmful to the Service, other users, or third parties.
• A legal requirement or order from a government authority.
• Discontinuation of the Service (with reasonable notice where feasible).

12.3 Effect of Termination

Upon termination for any reason:

• Your license to use the Service ceases immediately.
• All remaining credits are forfeited if termination is due to a violation of these Terms.
• Sections 5, 7, 8, 9, 10, 11, 13, 14, and 15 survive termination.
• You may request a copy of your personal data in accordance with our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict-of-law principles.

13.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact Kyrigo at support@kyrigo.com and attempt to resolve the dispute informally for a period of at least 30 days.

13.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Pulaski County, Arkansas. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.

13.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE PROCEEDING.

14. Force Majeure

Kyrigo shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet outages, third-party AI provider outages or model changes, cyberattacks, or any other event beyond Kyrigo's reasonable control.

15. General Provisions

15.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.2 Waiver

Kyrigo's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Kyrigo to be effective.

15.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kyrigo with respect to the Service and supersede all prior and contemporaneous agreements, understandings, representations, and proposals, whether written or oral, regarding the subject matter hereof.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Kyrigo's prior written consent. Kyrigo may freely assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms bind and inure to the benefit of the parties and their respective permitted successors and assigns.

16. Changes to These Terms

Kyrigo reserves the right to update or modify these Terms at any time. When we make material changes:

• We will update the “Effective Date” at the top of this document.
• We will notify registered users via email at least 30 days before the changes take effect.
• We will post the updated Terms on our website.
• Your continued use of the Service after the new effective date constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you must stop using the Service before the effective date of the changes.
